1. Acceptance of Terms

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Max Cufari, a licensed Florida real estate broker operating The Roads Report ("we," "us," or "our"), affiliated with Berkshire Hathaway HomeServices EWM Realty and the Scott Shuffield Group.

By visiting, browsing, submitting a form on, or otherwise using theroadsreport.com (the "Site"), you represent that you have read, understood, and agreed to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. These Terms apply to all visitors, users, and others who access or use the Site.

If you are accessing the Site on behalf of a company or other legal entity, you represent that you have the authority to bind such entity to these Terms.

2. Description of the Site

The Roads Report is an independent neighborhood publication covering real estate activity, market trends, sales data, and community insights related to The Roads neighborhood of Miami and surrounding areas including Coconut Grove and Coral Gables, Miami-Dade County, Florida.

The Site provides the following features and services:

• Neighborhood market reports with data on recent sales, price trends, and inventory
• Home value inquiry forms through which users may request a comparative market analysis
• Neighborhood and community information about The Roads, Coconut Grove, and Coral Gables
• Contact forms for scheduling consultations with Max Cufari regarding the purchase or sale of real property
• General real estate educational content

The Site is operated by Max Cufari, a licensed Florida real estate broker (License No. BK3459688, or as may be updated), affiliated with Berkshire Hathaway HomeServices EWM Realty. All real estate activities conducted through the Site are subject to applicable Florida real estate licensing laws.

3. Not Legal, Financial, or Appraisal Advice

4. No Fiduciary or Agency Relationship

Your use of this Site, including the submission of any form, does not create a fiduciary relationship, a broker-client relationship, an agency relationship, or any other professional relationship between you and Max Cufari or Berkshire Hathaway HomeServices EWM Realty.

A formal client relationship is established only through a separate, signed written agreement (such as a Buyer Representation Agreement or Listing Agreement as required by Florida law). Until such an agreement is executed, any information you share with us is not subject to the confidentiality or fiduciary duties that attach to a formal client relationship.

If you are currently represented by another licensed real estate professional, please disclose that at the outset of any communication, and we will direct any further communication through your representative as required by applicable law and professional standards.

5. Market Data and Information Accuracy

The real estate market data, statistics, and analysis published on this Site, including The Roads Market Report, are compiled from sources including MLS records, Miami-Dade County property records, and our own research. We make reasonable efforts to ensure accuracy, but we cannot and do not guarantee that the information is current, accurate, complete, or error-free.

Specifically, you acknowledge that:

• Market conditions change frequently; data published on the Site may not reflect the most current market activity
• MLS data is subject to correction and amendment by the listing brokers
• Off-market transactions may not be reflected in publicly available data
• Reported figures (including price per square foot, days on market, and list-to-sale ratios) are averages or medians and may not apply to any specific property
• Past market performance is not indicative of future market conditions

6. Home Value Estimates

The home value inquiry service offered on this Site provides an informal, broker-prepared comparative market analysis (CMA) based on available MLS data and public records. A CMA is not a certified appraisal and does not constitute an opinion of value as defined under Florida Statutes Chapter 475 or the Uniform Standards of Professional Appraisal Practice (USPAP).

A CMA prepared by The Roads Report:

• Is intended solely as an informal estimate to guide the decision-making of potential sellers or buyers
• Should not be used for financing, insurance, litigation, tax appeal, or any purpose requiring a certified appraisal
• May not reflect the true market value of any specific property, as individual property condition, access limitations, and market timing all affect value
• Is provided without warranty and without independent verification of the property's condition or improvements

For a certified property valuation, you should engage a Florida-licensed and certified real property appraiser.

7. Market Report Distribution

The Roads Market Report ("Report") is distributed by email to current residents of The Roads neighborhood and to verified prospective buyers. Distribution is at our sole discretion and we reserve the right to accept, decline, or discontinue distribution to any individual without explanation.

By requesting the Report, you:

• Consent to receive email communications from The Roads Report
• Represent that you are a current resident of The Roads, a prospective buyer of property in The Roads or surrounding areas, or a real estate professional with a legitimate interest in the data
• Agree not to republish, redistribute, reproduce, or commercially exploit the Report's content without our prior written permission
• Understand that the Report may include our broker's commentary, analysis, and opinions, which do not constitute certified appraisals or investment advice

You may unsubscribe from the Report at any time by contacting us at max@theroadsreport.com.

8. Intellectual Property

The Site and all of its contents, including but not limited to text, market reports, neighborhood guides, data analysis, graphics, photographs (except where credited to third-party sources), logos, page layouts, and the compilation thereof ("Content"), are owned by or licensed to Max Cufari / The Roads Report and are protected by United States and international copyright, trademark, and other intellectual property laws.

Permitted Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site for your personal, non-commercial purposes. This license does not include:

• Reproducing, distributing, or publicly displaying any Content
• Creating derivative works based on any Content
• Scraping, crawling, or otherwise programmatically collecting data from the Site
• Framing or linking to the Site in a manner that suggests endorsement or affiliation
• Using any Content for commercial purposes without our prior written consent

Trademarks

"The Roads Report" is a brand name used by Max Cufari. Berkshire Hathaway HomeServices® and the related marks are trademarks of HomeServices of America, Inc. and are used under license. You may not use any trademarks displayed on this Site without the prior written permission of the respective owner.

MLS Data

Property listing data and related information may be sourced from the Miami Association of REALTORS® MLS. Such data is the property of the respective MLS and its contributing members. We display this data under applicable IDX (Internet Data Exchange) licenses and usage rules. You may not reproduce MLS data for any purpose other than personal, non-commercial review.

9. User Conduct and Prohibited Uses

You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree not to:

• Submit false, misleading, or fraudulent information through any form on the Site
• Impersonate any person or entity or falsely represent your affiliation
• Use the Site for any unlawful purpose or in violation of any applicable federal, state, or local law or regulation
• Attempt to gain unauthorized access to any portion of the Site, its servers, or any connected systems
• Upload, post, or transmit any viruses, malware, or other harmful code
• Use automated means (bots, spiders, scrapers) to access, collect, or process any content or data from the Site
• Interfere with or disrupt the integrity, security, or performance of the Site
• Reverse-engineer, decompile, or disassemble any component of the Site
• Use the Site to send unsolicited communications or advertisements
• Collect or harvest any personally identifiable information from the Site without our express written permission
• Use the Site in any manner that could damage, disable, overburden, or impair it

We reserve the right to investigate and take appropriate legal action against anyone who, in our sole discretion, violates this provision, including reporting such conduct to law enforcement authorities.

Some jurisdictions do not allow the exclusion of implied warranties, so some of the above exclusions may not apply to you. In such jurisdictions, our liability is limited to the greatest extent permitted by law.

13. Limitation of Liability

This limitation of liability applies to all claims, whether based on warranty, contract, tort (including negligence), strict liability, or any other legal theory, and regardless of whether we have been informed of the possibility of such damages. This includes, without limitation, damages for:

• Lost profits, revenue, or savings
• Loss of data or information
• Business interruption
• Real estate transaction losses arising from reliance on information published on the Site
• Personal or property damage
• Any errors or omissions in any content

In jurisdictions where limitation of certain damages is not permitted, our total aggregate liability to you for all claims arising from or related to the Site or these Terms shall not exceed one hundred U.S. dollars ($100.00).

14. Indemnification

You agree to indemnify, defend, and hold harmless Max Cufari, The Roads Report, Berkshire Hathaway HomeServices EWM Realty, the Scott Shuffield Group, and each of their respective officers, directors, employees, agents, successors, and assigns from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of or access to the Site
• Your violation of these Terms
• Your violation of any applicable law, rule, or regulation
• Your violation of any third-party rights, including intellectual property rights or privacy rights
• Any information or content you submit to us
• Any misrepresentation you make to us

We reserve the right, at our own expense, to assume exclusive control of any matter otherwise subject to indemnification by you, and in such case, you agree to cooperate with our defense of such claim.

15. Governing Law and Dispute Resolution

These Terms and your use of the Site are governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law provisions.

Any dispute, controversy, or claim arising out of or relating to these Terms or the Site shall be resolved as follows:

Informal Resolution

Before initiating formal proceedings, you agree to first contact us at max@theroadsreport.com and attempt to resolve the dispute informally for a period of thirty (30) days.

Binding Arbitration

If informal resolution fails, any dispute shall be finally resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with one arbitrator, conducted in Miami-Dade County, Florida. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction.

Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, you waive any right to a jury trial.

Exceptions

Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief in any court of competent jurisdiction in Miami-Dade County, Florida, to prevent irreparable harm pending arbitration.

16. Termination of Access

We reserve the right, in our sole discretion, to terminate or restrict your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms or engaged in conduct harmful to us, other users, or third parties.

Upon termination, all licenses and rights granted to you under these Terms will immediately cease. Sections of these Terms that by their nature should survive termination shall survive, including Sections 8, 12, 13, 14, and 15.

17. Modifications to Terms

We reserve the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. For material changes, we may provide additional notice, such as a prominent notice on the Site.

Your continued use of the Site after any modification to these Terms constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Site. We encourage you to review these Terms periodically.
